This agreement ("Agreement") is between you and com20 Technologies, Inc. or its subsidiary ("com20"). This Agreement governs your use of the com20 Security monitoring service ("Service") accessible via its website located at www.com20.com. If you do not agree to these terms and conditions, you may not use the service and must terminate your service immediately.

ACCEPTANCE OF OFFER:
You are deemed to have accepted this Agreement upon: 1) your submission of an online order; or, 2) your submission of an order via telephone to an com20 registration center/agent. Offer not valid where prohibited by law.

AUTHORIZED USER:
By submitting an order for Service either online or via telephone you represent that you are at least 18 years of age, reside in the United States and have legal authority to enter into this Agreement. You affirm that the information you supply to us at registration is correct and complete and that you are the owner or authorized user of the billing information that you provide. You agree to promptly notify com20 whenever your personal or billing information changes (including for example, your name, address, telephone number, credit card number and/or expiration date).

com20 will provide you with a username and password (collectively, "Login") to enable you to access the website and use the Service. You agree to protect your Login and that you are responsible for all use on your account. It is your responsibility to ascertain and obey all applicable local, state and federal laws in regard to the use of your PC camera and the Service. You may not use Service to publish, post, distribute or disseminate 1) another's proprietary information, without express authorization from the rights holder or 2) any defamatory, obscene or other unlawful material or information, including, but not limited to transmissions constituting or encouraging conduct that would constitute a criminal offense or give rise to civil liability. Your acceptance of this Agreement and use of the Service is your affirmation that you are of legal age and that the product/Service will be used only in a lawful manner. You understand that this also means that you accept full liability and responsibility for the actions of anyone who uses the Service via your account, with or without your permission.

BILLING; CANCELLATION; TERMINATION:
This Agreement goes into effect as previously set forth under ACCEPTANCE OF OFFER and shall continue until terminated by either party as permitted by this Agreement.

Acceptable methods of payment for Service include Visa, MasterCard, Discover, American Express (collectively "Credit Cards") and Electronic Funds Transfer ("EFT"). All transactions will be in US Dollars ("USD") and will appear on your billing statements as com20 TECH, followed by our toll-free number.

Free Thirty (30) Day Trial Offer: If you currently own a web camera, you may test it with the Service at no charge to you for the first thirty (30) days after registration ("Trial Period"). Thereafter, the cost for the Service is nine dollars and ninety-five cents ($9.95) per month. While com20 will not charge/debit the funds for your first month of service until thirty (30) days after registration, we will, during registration, pre-authorize one month of service with your credit card/bank account issuer to verify the validity of the information provided and the availability of the funds. IF NOT SATISFIED WITH SERVICE, YOU AGREE TO NOTIFY com20 DURING YOUR TRIAL PERIOD. AT SUCH TIME, YOUR SERVICE WILL BE CANCELLED AND NO CHARGES WILL POST TO YOUR CREDIT CARD/BANK ACCOUNT. IF YOU DO NOT CANCEL YOUR SERVICE BEFORE YOUR TRIAL PERIOD ENDS, YOU HEREBY AUTHORIZE com20 TO AUTOMATICALLY CHARGE/DEBIT THE MONTHLY SERVICE FEE TO/FROM YOUR CREDIT CARD/BANK ACCOUNT AT THE END OF YOUR TRIAL PERIOD AND EVERY THIRTY DAYS THEREAFTER, ON OR ABOUT THE SAME DAY, UNTIL YOU CONTACT com20 TO CANCEL. At that time, the joint liability of com20 shall be limited to a cessation of billing and discontinuance of registration and Service beginning with the next billing cycle. You may contact com20 via one or more of the approved means designated in the paragraph titled NOTICE herein. Free three (3) day trial offer cannot be combined or used in conjunction with any other special offers or promotions.

If paying by credit card you agree to pay all charges to your credit card account in accordance with the terms of your cardholder agreement with the card issuer. It is your responsibility to report any billing discrepancies to com20 within sixty (60) days after such discrepancy appears on your credit card/bank statement. After sixty (60) days, you agree that such charges will be deemed accepted for all purposes.

Your Service is on a month-to-month basis. Either you or com20 may terminate this Agreement without cause by giving notice to the other in accordance with the notice provision set forth in the paragraph titled NOTICE herein. Termination by com20 shall be effective thirty (30) days after the date of notice to you unless otherwise specified herein. You may cancel your monitoring Service subscription at anytime; however, you will not be eligible for a refund of any unused portion of fees already paid. Instead, your Service will remain active for a period of thirty (30) days after the date that the charge for your last monthly Service fee posts to your credit card/bank account.

com20 reserves the right, in its sole and absolute discretion, to terminate your service immediately and without prior notice to you if 1) you are in breach of the terms of this Agreement; 2) you use the Service in a manner which violates any local, state and/or federal law or is disruptive to or adversely impacts the Service; 3) we receive an order from the court to terminate your Service; 4) we cease to offer the Service; or, 5) our attempts to credit/debit your credit card or bank account for your monthly Service fee is rejected or refused by your card issuer or bank resulting in non-payment of Service. In the event of termination, for any reason, any fees previously paid are not eligible for refund and you will be required to pay the remaining balance of the charges applicable to your Service through the effective date of termination. In the event that com20 utilizes a collection agency or resorts to legal action to recover monies due, you agree to reimburse us for all expenses incurred to recover such monies, including attorneys' fees.

In the event that com20 terminates your Service, com20 in its sole and absolute discretion, may refuse to accept your application to reinstate your Service. You understand that if your Service is reinstated you may be subject to and agree to pay a reinstatement fee.

PRIVACY POLICY
Your personal information will be used in accordance with com20 current privacy policy which is subject to change from time to time. The terms of our privacy policy are located on our website. You agree to the terms of the privacy policy and com20's disclosure of information in accordance with our privacy policy.

REVISIONS
We may revise the terms and conditions of this Agreement and/or our Privacy Policy from time to time by posting such revisions to our website. You agree to visit these pages periodically to learn of and review any such revisions. Increases to the monthly price of the Service shall be effective thirty (30) days after posting; revisions to any other aspects of the Agreement shall become effective upon posting unless otherwise specified. Your continued use of the Service after revisions become effective constitutes your acceptance of and agreement to the revisions. If you do not agree to the revisions, you must terminate your Service immediately.

SERVICE AVAILABILITY; SECURITY
Service is provided on an "AS IS" basis. com20 may, at any time, without notice or liability, restrict the use of the Service or limit its time availability in order to perform maintenance activities. You agree that the Internet is not a secure network and that third parties may be able to intercept, access, use, or corrupt the images you transmit or receive over the Internet. You further agree that your use of Service is at your sole risk and that you are solely responsible for any security procedures you deem appropriate, such as password on your modem and/or router and firewalls to protect your login information. We are not responsible in the event that any party changes the login information on your account. WE STRONGLY RECOMMEND THE USE AND APPROPRIATE UPDATING OF COMMERCIAL ANTI-VIRUS AND FIREWALL SOFTWARE. com20 is not responsible for invalid destinations, transmission errors, corruption or security of your data.

WARRANTY; LIMITATION OF LIABILITY
SERVICE IS PROVIDED ON AN "AS IS" BASIS, WITH "ALL FAULTS" AND "AS AVAILABLE" AND THE ENTIRE RISK AS TO SATISFACTORY QUALITY, PERFORMANCE, ACCURACY, AND EFFORT IS WITH YOU. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, com20 MAKES NO REPRESENTATIONS, WARRANTIES OR CONDITIONS, EXPRESS OR IMPLIED EXCEPT AS OTHERWISE SPECIFICALLY SET FORTH IN THIS AGREEMENT. com20 (AND ITS OFFICERS, DIRECTORS, EMPLOYEES, PARENT, SUBSIDIARIES OR AFFILIATES) DISCLAIMS ANY AND ALL WARRANTIES OR CONDITIONS, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED, TO 1) THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, WORKMANLIKE EFFORT, ACCURACY, NON-INFRINGEMENT, NON-INTERFERENCE, TITLE, COMPATABILITY OF COMPUTER SYSTEMS/PERIPHERALS, INTEGRATION; 2) WARRANTIES OR CONDITIONS THAT ACCESS TO OR USE OF THE com20 SITE WILL BE UNINTERRUPTED OR ERROR-FREE; AND 3) THOSE ARISING FROM COURSE OF DEALING, COURSE OF TRADE, OR ARISING UNDER STATUE. NO ADVICE OR INFORMATION GIVEN BY com20 OR ITS REPRESENTATIVES SHALL CREATE A WARRANTY. USE OF com20 TECHNICAL SUPPORT IS AT YOUR OWN RISK AND IS NOT WARRANTED. THERE ARE NO WARRANTIES THAT EXTEND BEYOND THE FACE OF THIS AGREEMENT.IN NO EVENT SHALL com20, ITS OFFICERS, DIRECTORS, EMPLOYEES, PARENT, SUBSIDIARIES OR AFFILIATES BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, CONSEQUENTIAL OR INCIDENTAL DAMAGES, INCLUDING WITHOUT LIMITATION, LOST PROFITS OR LOSS OF REVENUE OR DAMAGE TO DATA ARISING OUT OF THE USE, PARTIAL USE OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE TYPE OF CLAIM OR THE NATURE OF THE CAUSE OF ACTION INCLUDING WITHOUT LIMITATION, THOSE ARISING UNDER CONTRACT, TORT, NEGLIGENCE OR STRICT LIABILITY, EVEN IF com20 HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.ANY RIGHTS OR LIMITS STATED HEREIN ARE THE MAXIMUM FOR WHICH com20, ITS OFFICERS, EMPLOYEES, PARENT, SUBSIDIARIES AND AFFILIATES, ARE COLLECTIVELY RESPONSIBLE.IF YOU ARE DISSATISFIED WITH THE com20 WEB SITE AND/OR SERVICE, YOU DO NOT AGREE WITH ANY PART OF THIS AGREEMENT, OR YOU HAVE ANY OTHER DISPUTE OR CLAIM WITH OR AGAINST com20 WITH RESPECT TO THIS AGREEMENT OR THE com20 WEBSITE/SERVICE THEN YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE YOUR SERVICE IMMEDIATELY AND DISCONTINUE USING THE com20 WEB SITE.THE REMEDIES EXPRESSLY SET FORTH IN THIS AGREEMENT ARE YOUR SOLE AND EXCLUSIVE REMEDIES. YOU MAY HAVE ADDITIONAL RIGHTS UNDER CERTAIN LAWS WHICH DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY, OUR EXCLUSIONS OR LIMITATIONS MAY NOT APPLY TO YOU.

INDEMNIFICATION
You agree to indemnify and hold com20, its officers, directors, employees, parent, subsidiaries or affiliates, harmless from any and all expenses and liabilities, including reasonable attorney fees, arising out of or related to 1) a violation of any applicable laws, regulations or breach of this Agreement by you or any parties who use your account, with or without your permission, to access the Service; 2) the use of the Service or the Internet or the placement or transmission of any images, messages, information or other materials on the Internet by you or any parties who use your account, to access the Service with or without your permission; 3) negligent acts, errors, or omissions by you or any parties who use your account, with or without your permission, to access the Service. This right of indemnification shall survive the termination of this agreement.

NOTICE
Any notice required by com20 to you hereunder shall be deemed given: 1) when sent to your email address on file; 2) when deposited in the United States mail addressed to you at your last-known address; or 3) when hand delivered to your home. For the purposes of this Agreement, notices required by you shall be provided to com20 Customer Service Department at either of the following addresses or phone/facsimile numbers:

With regard to electronic communications, you and com20 further agree that 1) the username and/or alias of a sender in an electronic communication ("email'), is legally sufficient to verify the sender's identity and the authenticity of the communication; 2) an email sent containing your username and/or alias establishes you as its originator and has the same effect as a document with your written signature on it; and 3) an email or any computer printout of it, is a valid proof of the validity of the original content of the electronic communication.

REGULATORY COMPLIANCE
In the event there is a ruling, regulation or order issued by a judicial, legislative or regulatory body that causes com20 to believe that this Agreement may be in conflict with such rules, regulations and orders, com20 may terminate or modify your Service and/or this Agreement immediately without notice.

GENERAL
You are limited to taking advantage of no more than one special pricing promotion during any twelve month period.

com20 will not be liable for delays, damages or failures in performance due to causes beyond its reasonable control, including, but not limited to, acts of a governmental body, acts of God, acts of third parties, fires, floods, strikes or other labor-related disputes or other things we do not control.

com20 reserves the right to cooperate with legal authorities and/or injured third parties in the investigation of any suspected crime or civil wrong. Such cooperation may include, but may not be limited to, provision of account or user information.

You agree not to assign or otherwise transfer this Agreement in whole or in part. We may assign all or any part of this Agreement without notice and you agree to make all subsequent payments as directed.

This Agreement shall be governed and construed in accordance with the laws of the State of Rhode Island. Exclusive venue for any dispute hereunder shall be in the State of Rhode Island.
